APOLLO11 Inc. (hereinafter referred to as "the Company") provides "FusionBase" (hereinafter referred to as "the Service"). Please read and agree to these Terms of Service (hereinafter referred to as "these Terms") before using the Service. These Terms apply to all relationships between you and the Company regarding the use of the Service.
Article 1 (Scope of Application)
- These Terms apply to all relationships between the Company and users (hereinafter referred to as "the Customer") regarding the use of the Service.
- By using the Service, the Customer is deemed to have agreed to these Terms.
- If there is any conflict between these Terms and any individual agreement or other terms and conditions between the Customer and the Company, the individual agreement shall prevail.
- Matters not stipulated in these Terms shall be governed by the Act on the Protection of Personal Information and other laws and regulations of Japan, as well as generally established legal principles.
Article 2 (Definitions)
The terms used in these Terms are defined as follows:
- "The Service": FusionBase and all related services provided by the Company
- "Team": An organizational unit that uses the Service, constituting a single billing unit
- "Database": A structured data collection created and managed by the Customer on the Service
- "DB Group": A group unit bundling multiple databases
- "User Data": All data input, registered, uploaded, or stored by the Customer on the Service
- "Usage Data": Statistical information and log information regarding the use of the Service, excluding User Data
- "MCP (Model Context Protocol)": An industry-standard protocol for AI assistants to connect to the Service
- "AI Connection": A mechanism for AI assistants to access the Service through MCP endpoints
- "API Key": Authentication information for AI connections
- "OAuth Connection": An authorization method for team members to integrate with AI assistants
- "Supervised Write": A feature that requires human approval to finalize AI connection-generated proposals for creation, update, and deletion
- "Review Inbox": An interface for approving or rejecting Supervised Write proposals
- "Field Masking": A feature that makes specific fields invisible to certain AI connections
- "Row Scope": A filter condition for data rows applied to specific AI connections
- "Semantic Search": A feature that searches records based on semantic similarity
- "Plan": A pricing system defining the scope of available features of the Service
- "Coupon": A special plan application code provided through partners
Article 3 (Eligibility and Registration)
- To use the Service, the Customer must complete the registration process prescribed by the Company.
- Registration applications must be submitted by individuals aged 18 or older with contractual capacity, or by representatives of corporations with legitimate authority.
- The Company may refuse registration in any of the following cases:
- The application contains false information
- The applicant has previously violated these Terms
- The applicant is deemed to be an anti-social force or to have a relationship with such forces
- The Company otherwise deems the application inappropriate
- Upon completion of registration, a contract for the use of the Service (hereinafter referred to as "this Agreement") is established between the Customer and the Company.
- One account belongs to one team. One user cannot own multiple teams.
- The Customer shall provide accurate and up-to-date information and promptly update any changes.
Article 4 (Teams and Organizational Use)
- When an individual belonging to a corporation or organization (hereinafter referred to as "the Organization") uses the Service, these Terms apply to both the individual and the Organization.
- If an individual belonging to an Organization creates an account using the Organization's email domain, the Company may deem such individual to be using the Service on behalf of the Organization.
- The Organization shall be responsible for the acts and omissions of its members and shall ensure that such members comply with these Terms.
- Teams have the following roles:
- Owner: A representative with full authority over the team
- Admin: Can manage members, billing, and security settings
- Member: Can view and edit databases according to the access level set for each database
- The following access levels can be set for each database:
- Viewer: View only
- Editor: Can create, update, and delete records
- Admin: Can change database settings
- Custom roles (from v2.12) allow field-level settings of "Hidden" or "Read-only".
- Members join teams through email invitations (one-time link valid for 7 days).
Article 5 (Service Content)
- The Service is a no-code database service for the AI agent era. Customers can create and manage databases in their browser and safely connect AI assistants.
- The main features of the Service are as follows:
- Visual database design (14 field types, links, computed fields, etc.)
- Grid, Kanban, Gallery, Calendar views
- Public Forms (for data collection)
- Dashboards (aggregation and visualization)
- AI Connections (MCP endpoints, API keys, OAuth)
- Supervised Write (approval-based writing)
- Record history and trash (recoverable deletion)
- Semantic Search
- CSV/JSON/SQL dump data import and export
- The Service is a fully managed cloud service. Customers cannot operate their own infrastructure.
- The Service provides a bilingual UI in Japanese and English.
- The Service does not guarantee fitness for any particular purpose of the Customer.
Article 6 (Fees and Payment)
- The Service fees are a flat monthly rate per team. Prices are displayed in JPY (Japanese Yen) inclusive of consumption tax.
- Plans differ by number of databases, team members, rows per database, 30-day AI call limits, etc.
- The Customer must register payment information upon registration. Payment is processed through Stripe.
- The billing cycle is monthly, with automatic billing for the previous month's usage.
- Upgrades are applied immediately, with only the prorated difference billed. Downgrades and moves to the free plan are applied at the end of the current paid period.
- Cancellation remains effective until the end of the current paid period, with no prorated refunds.
- If card payment fails, the Company may suspend the Service.
- If the Customer delays payment, the Company may claim late payment damages at an annual rate of 14.6%.
- Payment-related fees (transfer fees, foreign exchange fees, etc.) are borne by the Customer.
Article 7 (Handling of User Data)
- Rights to User Data input by the Customer belong to the Customer (or the Customer's licensors).
- The Company may only access and use User Data for the following purposes:
- To provide, maintain, improve, and optimize the Service
- To perform actions based on the Customer's explicit approval
- When necessary to ensure the stability and security of the Service and systems
- Other purposes specified in the Privacy Policy
- The Company does not use User Data for AI model training, improvement, or other purposes.
- The Customer may delete User Data within the Service. However, deletion may not be fully reflected in record history, trash, and backup data.
- The Company shall be liable for damages if User Data is lost, destroyed, or deleted due to reasons attributable to the Company; provided, however, that except in cases of willful misconduct or gross negligence by the Company, such liability shall be limited to the cap set forth in Article 16, Paragraph 2.
- The Customer bears full responsibility for providing and publishing User Data on the Service. The Customer warrants that User Data does not infringe third-party rights or violate laws.
- The Customer shall indemnify the Company regarding User Data.
Article 7.2 (Company Measures for Data Protection)
- The Company shall implement the following measures to prevent the loss or destruction of User Data:
- Periodic backups
- Data redundancy and fault tolerance
- Access restrictions to the production environment and recording of operational logs
- Testing and approval procedures for changes affecting the production environment
- The Company's employees shall not access the content of User Data except where necessary for business operations.
Article 8 (AI Connections and Security)
- Principle of Least Privilege: All API keys start as read-only at creation. Creation, updating, deletion, and schema changes require explicit opt-in.
- Field Masking: Specific fields can be made completely invisible to certain API keys. Masked fields are excluded from schema, lists, searches, retrieval, aggregation, and history.
- Row Scope: For certain API keys, only rows matching saved filter conditions can be accessed.
- Supervised Write: For any key or OAuth connection, write operations can be configured to send proposals to the Review Inbox. Proposals can be approved or rejected with field-level diff displays.
- Audit Logs: All AI connection tool calls are recorded in the AI Activity Log. Logs are retained for 31 days.
- Record History: All changes are permanently retained as field-level diffs.
- Trash: Deletion is a soft delete, recoverable for 30 days (default). Permanent deletion by AI connections is not possible.
- IP Firewall: IP address allowlists can be set for team-wide AI/MCP access.
- Security Measures: Two-factor authentication (TOTP), passkeys, API key expiration and rate limits, security digest emails, etc. are provided.
- The Customer is responsible for managing API keys and OAuth connections. Leaked keys must be immediately revoked.
- Customers are strongly recommended to use two-factor authentication (2FA). The Company is not liable for unauthorized access or damages resulting from 2FA non-use.
Article 9 (Semantic Search and Embedding Data)
- The Service's Semantic Search feature generates embedding vectors from content in fields explicitly selected by the Customer.
- Embedding generation is performed by the Company's managed pipeline, and the Customer does not need to provide API keys to AI vendors.
- Generated embedding vectors are managed in an environment physically and logically separated from the Customer's team data.
- Embedding vectors are used solely for providing the Semantic Search feature.
- Embedding vectors are not used for AI model training or improvement.
Article 10 (Handling of Usage Data)
- The Company may collect and analyze Usage Data (access logs, used features, API call counts, error information, performance data, etc.) regarding the use of the Service.
- Usage Data does not include User Data.
- The Company may use Usage Data for business purposes such as service improvement, quality assurance, product development, and security measures.
- The Company may publish or provide Usage Data to third parties as statistical information after aggregation and anonymization.
Article 11 (Intellectual Property Rights)
- All programs, software, trademarks, trade names, and other intellectual property rights related to the Service belong to the Company or third parties with legitimate rights.
- Rights to User Data input by the Customer belong to the Customer.
- The Customer retains rights to database structures (schemas) and data content created through the Service.
- The Customer shall not attempt reverse engineering, decompilation, disassembly, or source code extraction of the Service or the Company's intellectual property.
Article 12 (Prohibited Conduct)
The Customer shall not engage in the following conduct when using the Service:
- Acts violating laws or public order and morals
- Acts related to the execution or facilitation of criminal or illegal acts
- Unauthorized access to or attempts to access the Company's servers or networks
- Attempts at reverse engineering, decompilation, disassembly, or source code extraction of the Service
- Acts that interfere with or may interfere with the operation of the Service
- Acts that infringe the rights of other customers or third parties
- Registration or provision of false information
- Resale, sublicensing, or transfer of the Service to third parties
- Collection of personal information through Public Forms in violation of the Act on the Protection of Personal Information
- Transmission or distribution of viruses, Trojan horses, or other harmful code through the Service
- Use of the Service beyond the scope explicitly permitted in these Terms
- Other conduct deemed inappropriate by the Company
Article 13 (Third-Party Services)
- The Service may provide features that integrate with third-party services (AI assistants, authentication services, payment services, etc.).
- When using third-party services, the Customer agrees to the terms of service and privacy policies of such third parties.
- The Company does not guarantee and is not responsible for the content, accuracy, safety, or legality of third-party services.
- In integrations with AI assistants through MCP, the Customer selects AI assistants at their own risk and is responsible for their use.
Article 14 (Changes, Suspension, and Termination of Service)
- The Company may change, add to, or discontinue the Service content without prior notice to the Customer.
- The Company may suspend all or part of the Service without prior notice in any of the following cases:
- System maintenance or updates
- Natural disasters or other force majeure making Service provision difficult
- Accidents such as fires or power outages making Service provision difficult
- Other cases deemed necessary by the Company
- The Company is not liable for any damages caused by the suspension or termination of the Service.
Article 15 (Disclaimer)
- The Company does not guarantee that the Service will fit the Customer's particular purpose, have expected functions or performance, be continuously available, or be free from errors or defects.
- The Company does not guarantee the uptime of the Service (no SLA is set).
- The Company is not liable for any damages incurred by the Customer or third parties through the use of the Service, except in cases of willful misconduct or gross negligence by the Company.
- The Company does not guarantee the accuracy, completeness, or usefulness of output content (responses, summaries, analyses, etc.) generated by AI assistants accessing the Service.
- The Company is not liable for any disputes between the Customer and third parties.
- With respect to the deletion of User Data or failure to delete User Data, the Company shall be liable within the scope of the cap set forth in Article 16, Paragraph 2, except in cases of willful misconduct or gross negligence by the Company.
- The Company informs the Customer of the inherent potential for information leakage in internet technologies, and the Customer provides User Data at their own risk.
Article 16 (Damages)
- If the Customer violates these Terms and causes damage to the Company, the Customer shall compensate the Company for all damages (including litigation costs and attorney fees).
- If the Company is liable for damages to the Customer (except in cases of willful misconduct or gross negligence), the Company's liability is limited to the total amount of usage fees paid by the Customer to the Company in the 12 months preceding the month in which the damage occurred (up to a maximum of 500,000 JPY).
- The Company is not liable for indirect damages, lost profits, special damages, or other incidental damages.
Article 17 (Contract Period and Cancellation)
- This Agreement is effective from the registration date and automatically renews on a monthly basis.
- The Customer may stop using the Service and cancel this Agreement at any time through the prescribed method.
- Upon cancellation, the Customer's account becomes immediately invalid, and the Service can no longer be used.
- Even upon cancellation, the Customer remains obligated to pay any outstanding fees.
- No penalty is incurred upon cancellation.
- Before cancellation, the Customer is responsible for exporting and backing up User Data. After cancellation, the Company will delete data after a certain period.
Article 18 (Refund Policy)
- The Service operates on a flat monthly fee basis, and refunds are generally not provided for fees for the period used.
- Credit card chargebacks are not permitted except in cases attributable to the Company.
- Refunds are not provided except in cases where the Service becomes unavailable for an extended period due to reasons attributable to the Company.
Article 19 (Exclusion of Anti-Social Forces)
- The Customer represents and warrants that they are not currently an anti-social force (organized crime groups, gang members, gang-affiliated companies, corporate extortionists, or similar) and do not fall under any of the following:
- Having a relationship where anti-social forces control management
- Having a relationship where anti-social forces are substantially involved in management
- Having a relationship that benefits anti-social forces
- Providing funds or favors to anti-social forces
- Officers or those substantially involved in management having socially condemnable relationships with anti-social forces
- The Customer warrants that they will not engage in the following conduct themselves or through third parties:
- Violent demands
- Unreasonable demands beyond legal responsibility
- Threatening conduct or use of violence in connection with transactions
- Spreading rumors, using fraud, or exerting influence to damage the Company's credibility or obstruct its business
- Other conduct similar to the above
- If the Customer violates the preceding two paragraphs, the Company may immediately terminate this Agreement without notice.
Article 20 (Confidentiality)
- The Customer and the Company shall strictly manage and not disclose or leak to third parties any confidential business or technical information (hereinafter "Confidential Information") disclosed by the other party in connection with the use of the Service.
- The following information is not considered Confidential Information:
- Information already publicly known at the time of disclosure
- Information that becomes publicly known after disclosure through no fault of the recipient
- Information already possessed by the recipient at the time of disclosure
- Information lawfully obtained from a third party with legitimate authority
- The confidentiality obligation continues for two years after the termination of this Agreement.
Article 21 (Changes to Terms)
- The Company may change these Terms by announcing changes on the Service website or through other appropriate methods.
- After announcement of changes, if the Customer continues to use the Service or does not cancel within the period set by the Company, the Customer is deemed to have agreed to the changed Terms.
- If changes to these Terms would cause significant disadvantage to the Customer, the Company shall provide reasonable advance notice.
- Important changes will be notified through the Service or by email.
Article 22 (Severability)
If any provision or part thereof of these Terms is deemed invalid or unenforceable under the Consumer Contract Law or other laws, the remaining provisions shall continue to be fully effective.
Article 23 (Governing Law and Jurisdiction)
- These Terms shall be governed by and construed in accordance with the laws of Japan.
- In the event of any dispute concerning the Service, the Nagoya District Court shall be the court of exclusive jurisdiction for the first instance.
Supplementary Provisions
These Terms shall come into effect on September 9, 2026.
